How to register a business in Ghana

Choose your business structure, check the name, prepare the right ORC forms, then submit and pay the applicable official fees. Registration is complete when the Office of the Registrar of Companies approves the filing and issues the records.

Where do you register a business in Ghana?

The Office of the Registrar of Companies (ORC) handles business-name registration and company incorporation. A business name for a sole proprietor and a company limited by shares are different structures, with different documents, costs and continuing obligations.

You can follow the official ORC procedure yourself or use a private service to help prepare and coordinate your application. JustRegisterIt is a private business registration service. ORC examines the filing and decides whether to approve it; a name search or completed draft is not an approval.

This overview brings the main steps together. Use the entity guides below for the details of your chosen structure, and check the current official forms and fee schedule before submitting.

What to prepare

  • Proposed business names and a clear description of the business activity.
  • The owner, directors, secretary, shareholders or partners needed for your structure, with consistent legal names and contact details.
  • Identity and tax identification details required by the current official forms, plus residential and business addresses and digital address details where applicable.
  • For companies: stated capital and share allocations, beneficial ownership details, and the necessary officer, auditor and declaration documents.

Steps

  1. Choose the right business structure: Decide who owns the business, how responsibility is shared and whether you need a separate company. A one-owner business name can be simpler, but does not provide the same liability separation as a company. Compare the entity guides before selecting a form.
  2. Check your proposed business name: ORC requires a name availability search. Check similar names and the naming rules for your structure. JustRegisterIt offers an advisory name check against registered-company records; the final name decision belongs to ORC.
  3. Complete the correct forms and supporting records: Use Form A for a sole proprietor business name. For a company limited by shares, use the current company incorporation pack and prepare the constitution, stated capital, officer consents, declarations and beneficial ownership information. The form catalogue and requirements guide help you assemble the right records.
  4. Review the fees and submit the application: Follow the current ORC submission and payment instructions. Check signatures, spelling, addresses and attachments before filing. If using a private service, review its service charge separately from the official registration fee, capital duty, copies and any optional expedited service.
  5. Receive and check the approved registration records: ORC examines the application before issuing a business-name certificate or company incorporation records. A sole proprietor should retain the certificate and certified Form A; companies should retain their incorporation certificate, constitution, company form and beneficial ownership records. Check the names and details on the issued documents.
  6. Set up tax, permits and yearly reminders: Registration is one part of starting a business. Check the Ghana Revenue Authority requirements, local assembly or sector permits and any employer obligations that apply to your activity. Business names need renewal, while companies need annual returns and updated ownership or officer records when details change.

Frequently asked questions

What documents do I need to register a business in Ghana?

The documents depend on the structure. A sole proprietor uses Form A and proprietor, identity, tax and address details. Companies also need officers, shareholders, stated capital, consents, declarations and beneficial ownership information. Use the requirements guide and current ORC forms for the full checklist.

How much does business registration cost in Ghana?

The 2026 ORC schedule lists GHS 130 for a business name, GHS 270 for a partnership, GHS 490 for a company limited by guarantee and GHS 585 for a company limited by shares, plus 1% capital duty on its stated capital. Copies, optional VIP service and private service fees can add to the total.

Can I prepare my registration online?

Yes. You can prepare details and documents through JustRegisterIt, or download official forms and follow the ORC procedure yourself. Preparing an online application does not mean the business has already been registered. ORC must examine and approve the filing.

Is the Registrar General the same registration office?

Older guides often refer to the Registrar-General's Department. The current official business registration and company incorporation procedures are published by the Office of the Registrar of Companies (ORC). Check the current ORC instructions rather than relying on an older fee or form.

What do I do after registration?

Keep your approved records, confirm tax and permit requirements, and set renewal or annual-return reminders. ORC lists GHS 70 for yearly business-name renewal. For companies limited by shares, its procedure calls for annual returns after 18 months of incorporation and subsequently every year.
