NGO, Foundation, Club and Association Naming Rules in Ghana
Names like NGO, Foundation, Association, Club, Church, and Charity usually point to a company limited by guarantee. The legal structure is LBG, even if the public name uses a nonprofit description.
NGO, Foundation, Club, Association, Church, Faith-based, Charity, and similar names usually point to a company limited by guarantee. The public name can describe the mission, but the legal structure remains LBG.
The Companies Act separates LBG from LTD. A guarantee company does not use shares for profit distribution to members; ORC service guidance also describes guarantee companies as not incorporated for member profit.
Choose wording that matches the purpose
LBG is the legal ending If the name says Foundation LTD, JRI will ask whether the business is really nonprofit. If profits go to owners or members, LLC may be the better route.
- Foundation can fit grant-making, social impact, education, health, or relief work.
- Association or Club can fit member-based bodies.
- Church or Faith-based wording should match the actual religious purpose.
- Charity should not be used for a profit-distributing business.
- LLC naming rules - Use this if the business distributes profit to owners.
- Rejected name guide - See why nonprofit wording can create review issues.
- Register NGO/LBG - Start the LBG route if the name and purpose fit a nonprofit-style company limited by guarantee.
